6.2 Licensing Rights to Flamingo Freelance

1. By uploading user-generated content to the Flamingo Freelance platform, users grant Flamingo Freelance a non-exclusive, royalty-free, perpetual, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, display, and perform the content in connection with the operation and promotion of the Flamingo Freelance platform. This license allows Flamingo Freelance to showcase user-generated content to other users, promote the platform through marketing and advertising campaigns, and optimize the content for different devices and formats.
2. Users retain ownership of the content they create and upload to Flamingo Freelance, and this license does not transfer ownership of the content to Flamingo Freelance. Drugs/Alcohol/Tobacco: Contents may not promote illegal drugs, illegal substances abuse of prescription drugs, use of Alcohol (except for beer and wine), tobacco products, or any related paraphernalia thereto. Lawful products and services which promote quitting tobacco-related products are permitted.
2. Weapons/Violence: Contents may not promote the use, distribution, or making of firearms, ammunition, explosives, pyrotechnics, or other weapons. Contents may not promote violence, cruelty, or physical or emotional harm to any person or animal.
3. Illegal Activities/Gambling: Contents may not promote any illegal or other questionable activities which may be illegal in one or more jurisdictions, including without limitation hacking, counterfeiting, or other activities that may violate the intellectual property, privacy, publicity, or contractual rights of others. Contents may not contain or promote content related to scams, financial schemes, pyramid schemes, or other fraudulent or illegal financial or investment opportunities. Contents may not promote casinos, gambling, betting, numbers games, sports, or financial betting. Contents promoting state lotteries are permitted.
4. Hate/Intolerance/Discrimination: Contents may not contain or promote hate speech, personal attacks, or discrimination toward any individual, group, country, or organization.
5. Obscenity/Indecency/Profanity: Contents may not contain or promote any obscene, indecent, profane, or offensive words, images, sounds, videos, or other content.
6. Political/Religious: Contents may not contain hostile, offensive, inflammatory, or hateful speech related to political or religious topics or groups. Contents may not exploit controversial political, social, or religious issues for commercial purposes.
7. Sexual or Adult Content: Contents may not include full or partial nudity, depictions of people in explicit positions, or activities that are overly suggestive or sexually provocative. Contents will not contain text or images exposing anyone or anything involved in explicit sexual acts or lewd and lascivious behavior. Contents may not promote escort, dating, erotic massage, pornography, or other sexual products or services.
8. Disparagement/Defamation: Contents may not contain disparaging or defamatory information or content that tends to harm the reputation of Flamingo Freelance or any other individual, group, or organization.
9. Gross Depictions: Contents may not contain or promote content that is crude, vulgar, degrading, or likely to shock or disgust.
10. Militant/Extremism: Contents may not contain or promote extremely aggressive and combative behaviors or unlawful political measures, including individuals or groups advocating violence as a means to achieve their goals.
11. Sensitive Content: Contents may not target sensitive categories such as financial status, medical conditions, mental health, criminal record, political affiliation, age, racial or ethnic origin, religious or philosophical affiliation or beliefs, sexual behavior or orientation, or trade union membership.
12. Free Goods/Services: Contents may not distribute or promise to distribute any free goods and services.
13. Targeted at Children: Contents may not specifically target children, including through cartoons or other similar content.
14. Unverifiable Claims: Contents may not make confusing claims that reasonable consumers cannot readily understand and evaluate
15. Before/After Images: Contents may not depict “before and after” images or images that contain unexpected or unlikely results.
16. Health and Safety Claims: Contents may not promote actions likely to harm one’s health, such as bulimia, anorexia, binge drinking, or drug use. Contents may not make health claims that are not clearly substantiated. Advertisers may be required to submit supporting documentation to substantiate their products’ claims.
17. Misleading/False/Deceptive: Contents may not contain any information or content that is potentially misleading, false, or deceptive, including content that is meant to deceptively generate clicks such as fake “close” buttons.
18. Competitive to Flamingo Freelance/Affiliates: Contents may not promote direct competitors of Flamingo Freelance or any of its parent, affiliate, subsidiary, or other related entity.

6.4 User Content Intellectual Property Rights

1. Flamingo Freelance respects the intellectual property rights of others and expects users to do the same. Users must ensure that they have the necessary rights, licenses, and permissions to create and upload content to the Flamingo Freelance platform and that their content does not infringe upon the intellectual property rights of others.

If users believe that their intellectual property rights have been infringed upon by content uploaded to the Flamingo Freelance platform, they may submit a notice of infringement to Flamingo Freelance's designated copyright agent in accordance with our Copyright Policy. 7.3 Enforcement of Intellectual Property Rights

11.0 INDEMNIFICATION

11.1 User Indemnification of Flamingo Freelance

1. You agree to defend, indemnify, and hold Flamingo Freelance, its suppliers, resellers, partners, and their respective affiliates harmless from and against any claims, liabilities, damages, losses and expenses, including reasonable attorney fees and costs, in connection with:

1. your use of the service;
2. your violation of these Terms;
3. your violation of any third-party right, including any intellectual property right; or
4. any claim that use of your data caused damage to a third party.

12.0 GOVERNING LAW AND DISPUTE RESOLUTION

1. The use of The Flamingo Freelance Platform shall be governed by and construed in accordance with the laws of the United States of America, excluding its conflicts of law rules. The User expressly agrees that the exclusive jurisdiction for any claim or action arising out of or relating to the User's use of The Flamingo Freelance Platform shall be filed only in the state or federal courts located in the USA, and the User further agrees and submits to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

12.2 Dispute Resolution; Arbitration 

1. If you have any dispute with or claim against us or any of our affiliates (a "Claim") arising out of or relating to the Application or this Agreement, and the claim is not resolved by calling our customer service department, you and we each agree to resolve such disputes through an individual binding arbitration or an individual action in small claims court. Class arbitrations and class actions are not permitted, and your Claim may not be consolidated with any other person's claim. You and we agree that the American Arbitration Rules govern the interpretation and enforcement of this provision and that you and we are each waiving the right to a trial by jury or to participate in a class action. This Section shall survive termination of this Agreement or any subscription that you may have to receive Content.
2. Before you commence arbitration or file a small claims court action concerning your Claim, you must first send to Flamingo Freelance a written notice of your claim ("Notice"). The Notice must:

   2. Any such arbitration shall be administered by the American Arbitration Association and be conducted by its Commercial Arbitration Rules, including the Consumer-Related Disputes Supplementary Procedures, if applicable (the "Rules").

14.0 THE CHILDREN’S ONLINE PRIVACY PROTECTION ACT (“COPPA”)

1. This Provision stipulates that Flamingo Freelance needs to obtain parental consent before intentionally collecting Sensitive Information from minors under the age of 13.  Flamingo Freelance does not intentionally gather or request Sensitive Information from children under the age of 13 unless it is provided directly by a child's parent or guardian or through the child's usage of the Services as a student in a school that uses the Flamingo Freelance Services.
2. If we discover that we have collected Sensitive Information from a person under the age of 13 in violation of COPPA, we will destroy the information.  If you feel a child under the age of 13 has provided us with Sensitive Information in violation of COPPA, please contact us at support@Flamingo Freelance.ai.

 

15.0 MISCELLANEOUS

1. This serves to clarify and enhance the enforceability of Flamingo Freelance's Terms of Service.

15.1 Severability

1. If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term, and all other provisions of this Agreement will continue in full force and effect.

15.2 Headings

1. The paragraph headings in this Agreement are solely for the sake of convenience and will not be applied in the interpretation of this Agreement.

15.3 Amendments to the Platform

1. We may, either partially or in its entirety and without being obligated to provide prior notice – modify, adapt or change the platform (or any of its content), the extent and availability of the contents on the Website, and any other aspect related to the Website. You will have no claim, complaint, or demand against us for applying such changes or for failures incidental to such changes.

15.4 Waiver

1. Our failure to partly or fully exercise any rights, or our waiver of any violation of these Terms by user, shall not prohibit us from exercising such right in the future, nor shall it be regarded a waiver by us of any subsequent breach by you of the same or any other provision of these Terms. Our rights and remedies under these Terms and any other applicable agreement between you and us are cumulative, and exercising any such right or remedy does not preclude us from exercising any other right or remedy.

15.5 Entire Agreement

1. This Agreement, together with the Privacy Statement, represents the entire understanding and agreement between Flamingo Freelance and you with respect to this Platform and any transactions contemplated by the Agreement and supersedes all prior or contemporaneous oral or written communications with respect to the subject matter of this Agreement, all of which are merged in this Agreement.
